1. Acceptance of Terms
By accessing and using the website and services of Arctis Digital, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use our services.
2. Services Provided
Arctis Digital provides digital agency services, including but not limited to web development, mobile application development, UI/UX design, and deployment services. The specific scope, timeline, and cost of any project will be outlined in a separate Statement of Work (SOW) or project agreement signed by both parties.
3. Intellectual Property
Upon full payment of all project fees, the client will own the intellectual property rights to the final delivered product (custom code, designs, and assets). Arctis Digital retains the right to use the completed project in our portfolio, marketing materials, and case studies unless a Non-Disclosure Agreement (NDA) is explicitly signed. We also retain ownership of any pre-existing code libraries, open-source frameworks, or proprietary tools used during development.
4. Client Responsibilities
To ensure the timely and successful delivery of projects, the client agrees to provide necessary feedback, assets, and approvals in a timely manner. Delays in client feedback may result in adjusted project timelines.
5. Limitation of Liability
Arctis Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our services or website. Our maximum liability relating to any specific project is limited to the total amount paid to us by the client for that project.
6. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of India, specifically within the jurisdiction of Vadodara, Gujarat. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts in Vadodara.
